Terms & Conditions

These Terms & Conditions ("Terms") are a binding agreement between you and the WavBin team ("we", "us", "our"), the operator of WavBin ("the Service"), located in the Commonwealth of Pennsylvania, United States. By creating an account, accessing, or using WavBin, you agree to these Terms. If you do not agree, do not use the Service.

If you use WavBin on behalf of a company, label, or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

You must be at least 13 years old to use WavBin. If you are under 18, you may use the Service only with the involvement of a parent or legal guardian who agrees to these Terms. WavBin is not directed to children under 13, and we do not knowingly collect their information.

• You are responsible for the accuracy of your registration information and for keeping your credentials confidential.
• You are responsible for all activity that occurs under your account.
• Notify us immediately using the contact button below if you suspect unauthorized access.
• We may suspend or terminate accounts that violate these Terms, create security or legal risk, or remain inactive for an extended period.

You retain all ownership rights in the audio files, artwork, metadata, notes, comments, and other material you upload or create in WavBin ("Your Content"). We claim no ownership of Your Content.

You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, encode, analyze, display, and otherwise process Your Content solely to operate, secure, support, and improve the Service for you — including generating waveforms, detecting key and tempo, producing tags, categories and search results, powering Studio processing and exports, and delivering content through links you choose to share. This license ends when you delete Your Content or your account, except for copies retained transiently in backups or as required by law.

You warrant that you own or have all necessary rights to Your Content and that its upload, processing, and sharing through WavBin does not infringe any third-party rights, including copyright, master and publishing rights, sample clearances, trademarks, or rights of publicity.

You may not, and may not permit anyone else to:

• Upload, store, or share content you do not have the rights to, or that infringes intellectual property rights.
• Use WavBin to distribute unlawful, defamatory, harassing, hateful, or sexually exploitative material.
• Upload malware, or attempt to probe, scan, breach, or circumvent authentication, access controls, rate limits, or plan limits.
• Scrape, crawl, or bulk-download the Service, or access it through automated means except via interfaces we provide.
• Reverse engineer, decompile, or attempt to derive source code, except where such restriction is prohibited by law.
• Resell, sublicense, or provide the Service to third parties as your own product.
• Use WavBin in any way that overburdens our infrastructure or degrades service for others.

WavBin uses third-party artificial intelligence models to generate tags, category suggestions, search results, quality estimates, project planning content, and other assistive output ("AI Output"). AI Output is provided for convenience only, may be inaccurate or incomplete, and is not professional, legal, financial, or business advice. You are responsible for reviewing AI Output before relying on it. To provide these features, relevant metadata and, where required by the feature, audio derived data may be transmitted to our AI processing providers. We do not sell your content, and we do not authorize providers to use it to train their models where the provider offers that control.

• Free plan. Offered with usage caps that we may change with notice, including limits on stored tracks, Studio tracks, exports, vocal cleanups, and boards.
• Pro plan. Billed in advance on a recurring monthly or annual basis at the price displayed at checkout, through our payment processor, Stripe. We do not store your full card details.
• Renewal. Subscriptions renew automatically until cancelled. You may cancel any time from your billing settings; access continues until the end of the paid period.
• Refunds. Payments are non-refundable except where required by law. We may issue discretionary refunds; use the contact button below.
• Taxes. Prices exclude applicable taxes, which we may add where required.
• Price changes. We will provide at least 30 days' notice before a price increase affects your renewal.
• Downgrades. If you drop to the Free plan while exceeding its limits, some content may become read-only until you reduce usage or upgrade again.

WavBin lets you create share links, public artist profiles, and collaborative boards. Content you make public or share by link may be accessed by anyone who has the link, subject to any password, expiry, or account requirement you set. You are solely responsible for what you share and with whom. We are not responsible for redistribution by recipients.

We respond to valid notices under the Digital Millennium Copyright Act. Use the contact button below and include: identification of the work, the URL or location of the material, your contact information, a statement of good-faith belief that use is unauthorized, a statement under penalty of perjury that the notice is accurate and you are authorized to act, and your physical or electronic signature. We may remove material and terminate repeat infringers. Counter-notices may be submitted to the same address.

We work to keep WavBin available, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features at any time. Where a change materially reduces core functionality of a paid plan, we will provide reasonable notice.

You may stop using WavBin and delete your account at any time from Settings. We may suspend or terminate your access for material breach of these Terms, suspected fraud or illegality, or risk to the Service or other users. Upon termination, your right to use the Service ends immediately and Your Content may be deleted after a short grace period. Export anything you wish to keep before deleting your account.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI OUTPUT, TEMPO OR KEY DETECTION, OR PROCESSING RESULTS WILL BE ACCURATE. YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN BACKUPS OF YOUR CONTENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAVBIN AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.

You agree to indemnify and hold harmless the WavBin operator from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of Your Content, your use of the Service, or your violation of these Terms or of any law or third-party right.

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law rules. You and the WavBin operator agree to the exclusive jurisdiction of the state and federal courts located in Pennsylvania, and each party waives any objection to venue there. You agree to first attempt to resolve any dispute informally by using the contact button below. Claims must be brought individually and not as part of a class or representative action.

We may update these Terms. If changes are material, we will notify you by email or in the app before they take effect. Continued use after the effective date means you accept the updated Terms.

These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between us. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
